Our Process

Edison's industry experience and focused strategy allow us to respond quickly to investment opportunities. We follow a disciplined review process designed to promote understanding of the company's business model and accomplishments. Edison's process is typically completed in one to three months depending upon business complexity and management's availability. We often work nights and weekends to meet a tight schedule. Edison follows these basic steps:

Initial Review

An Edison Investment Professional reviews the business plan within three days. A phone conference with the entrepreneur or referral source further qualifies the company's fit with Edison's basic investment profile (sector, geography, stage, financing size, etc.). Market, technology, business model and mangement are discussed. Edison's capabilities, resources and experience relevant to the company's domain are highlighted.

First Visit

Once qualified, a Partner or Principal meets with management at our office or visits the company's headquarters. We review management's goals, domain expertise, market position, distribution channels, product roadmap, projections, etc.

Subsequent Visits

We review sales activity and financial projections. Management and key employees are interviewed. Edison partners, Edison Director Network member and consultant may participate. A financial consultant reviews accounting policies, systems and reporting. Key findings are discussed with management. Investment terms are further tailored to meet requirements of management and major shareholders.

Partnership Review

Management meets all Edison partners and presents the business plan. This presentation stimulates discussion. Partner feedback helps focus due diligence. Edison commits to invest subject to due diligence.

Due Diligence

Edison's Analysis team coordinates due diligence to verify key elements of the business plan. We speak with customers, vendors, business partners and personnel references. A technical consultant reviews development process and audits functionality. A market consultant assesses competitive positioning and growth potential.

Investment Decision

Edison partners review due diligence results and arrive at an investment decision. Edison reserves at least 50% additional capital for a future financing.

Legal Documents

Edison's attorney coordinates with company counsel to review prior agreements and prepare investment documents, culminating in wire transfer. Following the Letter of Intent, we aim to close in a few weeks.
